Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of Terza (the “Service”), provided by 1001662213 Ontario Inc., operating as Terza(“Terza,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you (“you,” “Teacher,” or “User”) agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is offered to private music teachers for professional use. It is not offered directly to children, and children are not permitted to create accounts or interact with the Service themselves.

2. Description of Service

Terza is an AI-powered lesson intelligence platform for private music teachers. The Service:

  • Records music lessons at the Teacher’s direction, using on-device transcription
  • Generates AI-assisted observations, summaries, and draft practice notes from lesson transcripts
  • Maintains a longitudinal record of a Teacher’s lessons with each student
  • Gates all outputs behind Teacher review before anything is shared with a parent or guardian

Governing principle: Terza generates. The Teacher decides. No content reaches a parent or guardian without the Teacher’s explicit review and release.

3. Eligibility and Accounts

You must be at least 18 years old and a professional or aspiring music teacher to create a Teacher account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and keep it current.

The Service is not directed to children under 13, and Terza does not knowingly permit a child to register for or directly operate a Teacher account.

4. Minor Students and Verifiable Parental Consent

4.1 Scope

Many Teachers using Terza teach students who are minors (“Minor Students”). Because lesson recordings and the resulting transcripts, observations, and practice notes constitute personal information — and, for voice recordings, biometric personal information — about the Minor Student, Terza requires direct verifiable parental or guardian consent (“VPC”) before any Minor Student’s lesson is recorded or processed.

4.2 Parent-Completed Consent, Not Teacher Attestation

Terza’s consent flow requires the parent or legal guardian to directly complete the consent process through a Terza-generated notice and consent record, before the Minor Student’s first recorded lesson. This is enforced technically: a Minor Student profile cannot be enabled for recording in Terza’s systems until a completed parental consent record exists. A Teacher’s own attestation is not sufficient and does not substitute for parental completion of the flow.

4.3 What the Consent Covers

The parental consent notice discloses, at minimum:

  • That lessons will be audio-recorded
  • That the recording will be transcribed on-device and the transcript sent to Terza’s AI provider (Anthropic) for analysis
  • That Terza’s backend infrastructure provider (Supabase) will store the recording, transcript, and derived content
  • The data retention periods described in Terza’s Privacy Policy
  • The parent’s right to withdraw consent at any time and what withdrawal does and does not delete

4.4 Teacher Responsibilities

Teachers remain responsible for:

  • Initiating the consent request to the correct parent or guardian while adding a Minor Student and enabling recording
  • Not attempting to bypass, falsify, or coach around the consent process
  • Promptly relaying any parent request to exercise their rights under Section 4.5 to Terza if the parent has not contacted Terza directly
  • Complying with all applicable laws governing the recording of minors in their jurisdiction, independent of Terza’s own consent architecture

4.5 Parental Rights

A parent or guardian who has completed consent for a Minor Student may, at any time:

  • Withdraw consent, which stops future recording of that Minor Student and triggers deletion of that Minor Student’s stored audio recordings, transcripts, and progress-record content
  • Request access to the personal information Terza holds about their child
  • Request deletion of their child’s data beyond what is automatically deleted on withdrawal (see Section 4.6 and the Privacy Policy)

Requests may be submitted directly to privacy@terza.app or through the withdrawal mechanism provided in consent communications.

4.6 Scope of Deletion on Withdrawal

On withdrawal, Terza automatically deletes the Minor Student’s stored audio recordings, transcripts, and resulting progress-record content. The consent and withdrawal record documenting the request itself is retained for compliance purposes and is not affected by this deletion.

5. User Representations

By creating an account and using the Service, you represent and warrant that:

  • all registration information you submit is true, accurate, current, and complete, and you will maintain and promptly update such information as necessary
  • you have the legal capacity to enter into and be bound by these Terms
  • you are at least 18 years of age
  • you are a professional or aspiring music teacher and will use the Service only for legitimate music-teaching purposes
  • you are not prohibited by any applicable law, regulation, or professional-conduct requirement from working with minors or from recording lessons involving minors
  • you have, or will obtain prior to recording, all consents required by applicable law to record individuals in your jurisdiction, independent of and in addition to Terza’s verifiable parental consent architecture described in Section 4
  • the student information you provide to the Service is accurate and you are authorized to provide it
  • you will not use the Service for any illegal or unauthorized purpose
  • your use of the Service will not violate any applicable law or regulation

Any breach of the foregoing representations entitles Terza to suspend or terminate your account in accordance with Section 16.

6. Teacher Responsibilities and Restrictions on Use

You agree to obtain any consents required by applicable law before recording any individual, in addition to the VPC process described above. You also agree to review all AI-generated observations and practice notes before releasing them to a parent, and not represent unreviewed AI-generated content as your own independent professional assessment of the student.

You may only access and use the Service for its intended purpose as described in these Terms. You agree not to:

  • use the Service for any purpose other than legitimate music-teaching purposes
  • access the Service through automated or non-human means, including bots, scripts, spiders, crawlers, or scraping tools
  • circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict use or copying of Content or that enforce limitations on use
  • upload or transmit viruses, Trojan horses, worms, or any other malicious or harmful code, files, scripts, agents, or programs that may damage, detrimentally interfere with, intercept, or expropriate any system, data, or personal information
  • attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service
  • reverse-engineer, decompile, disassemble, decode, or otherwise attempt to derive or gain access to the source code, algorithms, or underlying models of the Service, in whole or in part
  • copy, reproduce, modify, adapt, translate, or create derivative works of the Service, except as expressly permitted by these Terms
  • use the Service, Content, or Outputs to build, train, or improve a product or service that competes with the Service
  • sell, rent, lease, sublicence, assign, transfer, or otherwise make your account available to any third party
  • represent unreviewed AI-generated Content as your own independent professional assessment
  • attempt to bypass, falsify, or coach around the verifiable parental consent process described in Section 4
  • use the Service to record or process audio you are not authorized to capture

7. AI-Generated Content and Review Obligation

Terza’s AI-generated summaries, observations, and practice notes are drafts. They are generated by large language models and may contain errors, omissions, or misattributed statements. Terza does not warrant the accuracy of AI-generated content. You are solely responsible for reviewing, editing, and approving any AI-generated content before it is shared with a parent, guardian, or student. Terza is not liable for consequences arising from AI-generated content that a Teacher releases without adequate review.

8. Third-Party Service Providers

Terza engages third-party service providers to deliver the Service, currently:

  • Anthropic— AI analysis of lesson transcripts (summary generation, observation extraction). Anthropic does not train its models on this data, under an unconditional no-training commitment in Terza’s agreement with Anthropic.
  • Voyage AI— generates embeddings from lesson observations, powering the in-studio Ask and Reflect features and the opt-in cross-studio Ask Terza community-reference feature. Receives only observation-level content with student names removed — never the raw lesson audio or transcript. See Terza’s Privacy Policy for how the two features differ in retention and linkage.
  • Supabase — database, authentication, storage, and backend infrastructure
  • Sentry — general-purpose application logging and error monitoring. Sentry does not receive lesson content, student names, or other personal information.
  • Apple— on-device transcription (processed entirely on the Teacher’s device; Apple does not receive lesson audio or transcripts as a result of this processing), Sign in with Apple, App Store billing, and push notification delivery (APNs). Push notification text is generic and contains no lesson content, student names, or other personal information; the payload may include an internal reference ID used solely to deep-link the Teacher to the relevant record in-app.
  • Resend — transactional and consent-related email delivery

Lesson audio is transcribed on-deviceusing Apple’s system speech-recognition framework; audio is not sent to any third party for transcription. A current list of sub-processors that do receive lesson data is maintained in Terza’s Privacy Policy and will be updated if this list changes.

9. Intellectual Property

9.1 Terza’s IP

The Service, including all software, algorithms, user interfaces, and associated documentation, is the proprietary property of 1001662213 Ontario Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any rights in Terza’s intellectual property other than the limited license to use the Service as set out herein.

9.2 Feedback

If you provide Terza with any feedback, suggestions, ideas, improvement requests, or other input regarding the Service (“Feedback”), you grant Terza an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid, worldwide right and licence to use, reproduce, modify, adapt, publish, and create derivative works of your Feedback for any purpose, including improving the Service and developing new features, without any obligation of attribution, compensation, or accounting to you. For the avoidance of doubt, Feedback does not include Content (as defined below).

9.3 Your Content

Definitions.You may submit lesson recordings, notes, student roster information, and other materials to the Service (“Inputs”) and receive AI-generated summaries, observations, practice notes, progress records, and other content generated by the Service from your Inputs (“Outputs”). Inputs and Outputs are collectively referred to as “Content.”

Ownership.You retain ownership of your Inputs. Terza does not claim ownership of your Inputs. Outputs generated by the Service are works produced by Terza’s AI processing pipeline and are licensed to you for use in connection with your teaching practice. As between you and Terza, Terza owns all right, title, and interest in the underlying models, algorithms, and processes used to generate Outputs.

Representations.By submitting Inputs to the Service, you represent, warrant, and agree that you have all rights, licences, and permissions necessary for Terza to receive, store, process, and use the Inputs as described in these Terms and the Privacy Policy, including the right to have lesson audio recordings transcribed, transmitted to Terza’s AI provider for analysis, and used to generate Outputs. Where Inputs include or relate to a Minor Student, you represent that VPC has been obtained in accordance with Section 4.

Service-delivery licence.You grant Terza a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, transmit, process, and create derivative works of your Content solely for the purposes of: (i) operating and providing the Service, including on-device transcription, AI analysis, storage, and generation of Outputs; (ii) maintaining and improving the Service’s functionality and reliability; and (iii) complying with applicable law.

Anonymized data licence.Where you or a Minor Student’s parent has opted into the anonymized data contribution program described in the Privacy Policy, you grant Terza an additional limited licence to de-identify and aggregate Content and to use the resulting de-identified data to improve the pedagogical relevance of AI outputs across the Service. This opt-in is entirely voluntary, and the Service is fully functional without it.

No training on identifiable data. For the avoidance of doubt, the licences granted in this Section do not permit Terza or any of its service providers to use identifiable Content — including lesson recordings, transcripts, or data attributable to a specific student — to train, fine-tune, or improve general-purpose AI models.

10. Subscription, Payment, and Cancellation

Access to paid tiers of the Service is subject to payment of applicable subscription fees, billed in advance on a monthly or annual basis through the App Store. All fees are non-refundable except as required by applicable law or Apple’s refund policy. Refunds are processed by Apple and subject to their terms. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Terza reserves the right to modify pricing with reasonable advance notice.

11. Privacy

Terza’s collection, use, and disclosure of personal information is governed by Terza’s Privacy Policy, incorporated into these Terms by reference. You agree to the Privacy Policy as a condition of using the Service. In the event of a conflict between these Terms and the Privacy Policy on privacy matters, the Privacy Policy governs.

12. Modifications and Interruptions

While we strive to make the Service available to you at all times, we do not guarantee that the Service will be available or uninterrupted at all times. The Service may be unavailable during periods of scheduled or emergency maintenance, or due to hardware, software, or infrastructure issues.

The Service relies on products and services provided by third parties, including Anthropic (AI analysis), Supabase (backend infrastructure), and Apple (on-device transcription, App Store billing, and push notifications). To the maximum extent permitted by law, Terza is not liable for disruptions, downtime, or degradation of the Service caused or contributed to by any third-party provider.

Terza is not obligated to maintain, support, upgrade, or provide corrections, updates, or new versions of the Service, although Terza may do so in its discretion.

Terza reserves the right to modify, suspend, or discontinue any feature or component of the Service at any time, with or without notice, and will not be liable for any modification, suspension, or discontinuation. Where a modification materially reduces the functionality of the Service, Terza will use reasonable efforts to provide advance notice.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TERZA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE. TERZA DOES NOT PROVIDE PROFESSIONAL MUSIC INSTRUCTION OR PEDAGOGICAL ADVICE, AND AI-GENERATED OBSERVATIONS ARE NOT A SUBSTITUTE FOR THE TEACHER’S OWN PROFESSIONAL JUDGMENT.

You acknowledge that the Service processes, transforms, and generates derivative works from your Inputs in the ordinary course of operation, including by transcribing lesson audio, transmitting transcripts to Terza’s AI provider for analysis, and generating Outputs. Terza is not liable for modifications to, or derivative interpretations of, your Content that occur as a result of this processing.

Terza will use commercially reasonable efforts to maintain the integrity of Inputs stored within the Service in their original submitted form, subject to Terza’s data-retention schedule. However, Terza does not guarantee the preservation, backup, or archival of any Content. You are encouraged to maintain your own copies of any materials you submit to the Service.

To the maximum extent permitted by applicable law, Terza shall have no liability to you for any loss, corruption, or unavailability of Content, and you waive any right of action against Terza arising from any such loss or corruption, except where such loss or corruption results from Terza’s breach of its data-security obligations under the Privacy Policy.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, (I) TERZA’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TERZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, AND (II) TERZA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

15. Indemnification

You agree to indemnify and hold Terza harmless from claims arising from your breach of these Terms, your failure to obtain required consents (including verifiable parental consent independent of Terza’s own VPC architecture where applicable), or your misuse of AI-generated content.

16. Termination

Terza may suspend or terminate your account for violation of these Terms, including circumvention of the Minor Student consent process. You may terminate your account at any time through account settings.

If Terza terminates or suspends your account for any reason, you are prohibited from registering and creating a new account under your name, a fictitious name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, Terza reserves the right to take appropriate legal action, including pursuing civil, criminal, and injunctive remedies.

17. Force Majeure

Terza shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond Terza’s reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labour disputes, government actions, failure of third-party telecommunications or power supply, cyberattacks, or disruption of third-party infrastructure on which the Service depends (including Anthropic, Supabase, and Apple).

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Before commencing any court proceeding arising out of or relating to these Terms, the parties agree to attempt in good faith to resolve the dispute through mediation administered by a mutually agreed mediator in Ontario. If mediation is not initiated or does not resolve the dispute within 60 days, either party may commence proceedings in the courts of Ontario. Nothing in this section prevents either party from seeking injunctive or other equitable relief where necessary to protect its rights.

19. Changes to These Terms

Where changes are material, Terza will provide at least 30 days’ notice via email or in-application notification. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree, you must discontinue use before the effective date.

20. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Terza with respect to the Service. If any provision is found unenforceable, the remaining provisions continue in full force. Terza’s failure to enforce any right is not a waiver of that right. You may not assign your rights under these Terms without Terza’s prior written consent; Terza may assign its rights freely, including in connection with a merger, acquisition, or sale of assets.

You agree that these Terms will not be construed against Terza by reason of Terza having drafted them.

These Terms do not create, and shall not be construed as creating, a joint venture, partnership, franchise, employment, or agency relationship between you and Terza. Neither party has the authority to bind or obligate the other.

21. Electronic Communication

By using the Service, sending emails to Terza, and completing forms through the Service (including the verifiable parental consent flow), you consent to receive electronic communications from Terza, including by email, push notification, and in-application messaging. You agree that all agreements, notices, disclosures, consent notices, withdrawal confirmations, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures, electronic records, and the electronic delivery of notices, policies, and records of transactions initiated or completed through the Service. You waive any rights or requirements under any statute, regulation, rule, ordinance, or other law that requires an original signature or delivery or retention of non-electronic records.
